1. The service

AxioVendo Ltd ("AxioVendo") provides a software platform that digitises vendor assessment questionnaires, suggests answers from a customer-controlled answer bank and evidence library, routes questions to team members, records approvals, and exports completed questionnaires. These terms form the agreement between AxioVendo and the organisation that creates an account (the "Customer").

2. Accounts and responsibilities

• You must provide accurate registration information and keep credentials confidential.
• The account admin controls team membership and is responsible for their org's use of the service.
• You are responsible for the accuracy of answers you approve and send to your prospects — AI suggestions are drafts, not representations by AxioVendo.
• You must not upload unlawful content, attempt to breach security, or resell the service.

3. Plans and billing

Free

1 questionnaire and up to 3 seed questionnaires, full workflow, no payment details required. We may adjust free limits with notice.

Pay as you go

£50 one-time setup (covering storage provisioning and initial library indexing) plus £7.99 per questionnaire processed, billed monthly in arrears via Stripe based on metered usage. Fees are exclusive of VAT.

Bring your own (BYO)

£499 per year, billed annually in advance via Stripe. The Customer is solely responsible for: (a) their AI provider account, API key, usage costs, and compliance with their AI provider's terms; (b) their Google Drive or SharePoint permissions and the contents of the connected folder; (c) revoking access when required. AxioVendo is not liable for unavailability caused by the Customer's storage or AI provider.

4. Intellectual property

The Customer owns its data: uploaded documents, answers, answer bank, and exported questionnaires. AxioVendo owns the platform, software, and all improvements. The Customer grants AxioVendo a licence to process Customer data solely to provide the service.

5. Data protection

Personal data is handled per our Privacy Policy and Data Processing Agreement, which is incorporated into these terms where AxioVendo processes personal data on the Customer's behalf.

6. Availability

We target 99.5% monthly availability excluding planned maintenance. The service is provided "as is" on the free plan.

7. Limitation of liability

Nothing excludes liability for death, personal injury, or fraud. Subject to that: AxioVendo is not liable for indirect or consequential loss, loss of profits, or loss of deals; total aggregate liability in any 12-month period is capped at the fees paid by the Customer in that period (or £100 on the free plan). AI-generated suggestions may be inaccurate; the Customer is responsible for review and approval before sending answers to third parties.

8. Indemnity

The Customer indemnifies AxioVendo against claims arising from the Customer's content, its answers sent to third parties, or its breach of these terms.

9. Termination

Either party may terminate for material breach unremedied within 30 days of notice. The Customer may cancel any time; paid periods are non-refundable except where required by law. On termination we delete Customer data within 30 days per the DPA.

10. General

These terms are governed by the laws of England & Wales and subject to the exclusive jurisdiction of the courts of England & Wales. We may update these terms with 14 days' notice; continued use constitutes acceptance.
